2. ACCEPTANCE OF TERMS
2.1. By accessing or using Shadow Healthcare, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2.2. If you do not agree to these Terms, you must not use our Service.
2.3. You must be at least 18 years old to use Shadow Healthcare.
2.4. By using our Service, you represent and warrant that you have the legal capacity to enter into these Terms.
3. DESCRIPTION OF SERVICE
3.1. Shadow Healthcare provides a web-based platform that assists care home providers and caregivers in generating personalized care plans for residents in the United Kingdom and the Republic of Ireland.
3.2. The Service includes:
- Care plan generation tools
- Document scanning functionality (available on all paid plans)
- AI-powered editing capabilities (available on AI-Powered and Premium plans only)
- Privacy Protection: Resident names are automatically anonymized before AI processing and restored afterward
- PDF generation and email delivery
- Access to 28 different care plan templates
3.3. The care plans generated are templates intended to be customized by qualified healthcare professionals for individual residents.
4. ACCOUNT REGISTRATION
4.1. To use Shadow Healthcare, you must create an account by providing:
- Your full name
- Valid email address
- Secure password
- Date of birth (to verify you are 18+)
4.2. You agree to provide accurate, current, and complete information during registration.
4.3. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
4.4. We reserve the right to suspend or terminate accounts that provide false information.
4.5. Generated care plans will be sent to the email address provided during account registration. You must ensure this is the correct email address.
5. SUBSCRIPTION PLANS AND PRICING
5.1. Available Plans

- Duration: 7 days from account creation
- Includes: 5 care plan generations
- Includes: Document scanning
- Does NOT include: AI Editor
- No payment required, no credit card required
Standard Plan
- Monthly: £6.00 per month
- Annual: £49.00 per year (save £23)
- Includes: Unlimited care plan generation
- Includes: Unlimited document scanning
- Includes: PDF & email delivery
- Does NOT include: AI Editor
AI-Powered Plan
- Annual only: £99.00 per year
- Includes: Everything in Standard
- Includes: AI Editor (3 edits per care plan)
- Privacy: Resident names automatically anonymized during AI processing
Premium Plan
- Annual only: £149.00 per year
- Includes: Everything in AI-Powered
- Includes: AI Editor (5 edits per care plan)
- Privacy: Resident names automatically anonymized during AI processing
5.2. Pricing Changes
5.2.1. We reserve the right to change our pricing at any time.
5.2.2. Existing subscribers will be notified at least 30 days before any price increase affecting their subscription.
5.2.3. Price changes will not affect your current billing cycle but will apply upon renewal.
5.2.4. If you do not agree to a price increase, you may cancel your subscription before the renewal date.
6. PAYMENT TERMS
6.1. Payment Methods: We accept payment via Stripe, which supports major credit and debit cards.
6.2. Billing Cycles:
- Monthly subscriptions are billed every 30 days from the subscription date
- Annual subscriptions are billed every 365 days from the subscription date
6.3. Authorization: By providing payment information, you authorize us to charge the applicable fees to your payment method.
6.4. Failed Payments:
- If a payment fails, we will notify you via email
- Your access may be suspended until payment is received
- We will attempt to process payment up to 3 times over 10 days
- After 3 failed attempts, your subscription will be cancelled
6.5. Taxes: All prices are in GBP and inclusive of VAT where applicable.
7. AUTO-RENEWAL AND CANCELLATION
7.1. Auto-Renewal
7.1.1. All paid subscriptions automatically renew at the end of each billing cycle unless cancelled.
7.1.2. You will be charged the then-current subscription fee unless you cancel before the renewal date.
7.1.3. We will send you a reminder email at least 7 days before each renewal.
7.2. Cancellation
7.2.1. You may cancel your subscription at any time through your account dashboard or by contacting support@shadowhealthcare.co.uk.
7.2.2. Upon cancellation:
- You will retain access until the end of your current billing period
- No refund will be provided for the remaining days of the current period
- Auto-renewal will be disabled
- Your account will revert to the Free Trial limits (if applicable) or be deactivated
7.2.3. 14-Day Cooling-Off Period (Consumer Contracts Regulations 2013):
- If you are a consumer (not purchasing for business use), you have the right to cancel within 14 days of purchase
- If you have used the Service during this period, you will be charged proportionately for the services you received
- To exercise this right, email support@shadowhealthcare.co.uk with your cancellation request
- Refunds will be processed within 14 days to your original payment method
8. REFUND POLICY
8.1. 14-Day Cooling-Off Period: Under UK Consumer Contracts Regulations 2013, you have 14 days from purchase to cancel. If you have used the Service during this period, you will be charged a proportionate amount for services received, and the remainder will be refunded.
8.2. No Refunds After 14 Days: After the 14-day period, subscription fees are non-refundable, except:
- Service downtime exceeding 48 consecutive hours (pro-rata refund)
- Billing errors (full correction and refund of overcharge)
8.3. Partial Month Refunds: We do not provide pro-rata refunds for cancelled subscriptions outside the 14-day window.
8.4. Exceptional Circumstances: Refund requests for exceptional circumstances will be considered on a case-by-case basis.

8.6. Refunds are processed within 14 business days to your original payment method.
9. FREE TRIAL TERMS
9.1. New users receive a 7-day free trial with 5 care plan generations.
9.2. No payment information is required for the free trial.
9.3. At the end of the trial:
- You will be prompted to choose a paid plan to continue
- No automatic charge will occur
- Your account will be limited until you subscribe
9.4. Free trials are limited to one per user/email address.
9.5. We reserve the right to refuse free trial access if we suspect abuse or fraudulent activity.
10. USAGE LIMITS AND RESTRICTIONS
10.1. Care Plan Generation Limits:
- Free Trial: 5 care plans total
- Standard: Unlimited
- AI-Powered: Unlimited
- Premium: Unlimited
10.2. AI Editor Limits (per care plan):
- Free Trial: 0 edits
- Standard: 0 edits
- AI-Powered: 3 edits
- Premium: 5 edits
10.3. Fair Use Policy: While most plans offer "unlimited" care plans, we reserve the right to contact users generating excessive volumes (>1,000 care plans per month) to ensure compliance with our intended use.
10.4. Attempting to circumvent usage limits (e.g., creating multiple accounts) is prohibited and may result in account termination without refund.
11. USER OBLIGATIONS
11.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.
11.2. You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Interfere with the proper functioning of the Service
- Attempt to gain unauthorized access to other users' accounts
- Transmit or store harmful or malicious code
- Violate any applicable laws, regulations, or third-party rights
- Use the Service to generate care plans for residents outside the UK or Ireland without proper adaptation
- Share your account credentials with others
11.3. Clinical Responsibility:
- The care plans generated are templates based on information you provide
- You are solely responsible for verifying the accuracy, appropriateness, and clinical safety of all care plans before implementation
- Care plans must be reviewed and customized by qualified healthcare professionals
- You must ensure care plans comply with CQC standards and relevant regulations
11.4. Resident Name Protection:
- Generated care plans are for the named resident only
- You may alter care plan content for the named resident
- You MUST NOT change the resident name on a generated care plan to use it for a different resident
- Doing so constitutes plagiarism and breach of these Terms
- We reserve the right to pursue legal action for such violations
12. INTELLECTUAL PROPERTY RIGHTS
12.1. Our Rights:
- Shadow Healthcare Ltd retains all rights, title, and interest in the Service
- All content, including text, graphics, logos, software, and templates, is protected by UK copyright law
- Our trademarks and branding may not be used without express written permission
12.2. Your License:
- You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose
- This license terminates upon account cancellation or termination
12.3. Your Content:
- You retain ownership of data you input into the Service
- By using the Service, you grant us a limited license to process your data solely to provide the Service
- We do not claim ownership of resident information or customized care plans you generate
12.4. Generated Care Plans:
- You may download, print, and use generated care plans for your care home operations
- You may not resell, redistribute, or commercialize our templates or generated plans
13. DATA PROTECTION AND PRIVACY
13.1. We process personal data in accordance with UK GDPR and the Data Protection Act 2018.
13.2. Data We Collect:
- Account information (name, email, date of birth)
- Usage data (how you interact with the Service)
- We do NOT store resident data entered into care plan generation forms
13.3. Important: Shadow Healthcare Ltd does not retain or store resident/service user information entered into care plan forms. This data is processed in real-time and not saved to our servers.

13.5. You are responsible for ensuring your use of the Service complies with UK data protection laws regarding resident data.
13.6. Your Rights: Under UK GDPR, you have the right to:

- Object to processing

14. DATA SECURITY

- No internet service is 100% secure
- We cannot guarantee absolute security
- You are responsible for maintaining secure passwords

- Use a strong, unique password
- Do not share your login credentials
- Log out after each session on shared devices
- Notify us immediately of any suspected security breach
15. SERVICE AVAILABILITY
15.1. We aim to provide 99.9% uptime but cannot guarantee uninterrupted access.
15.2. We reserve the right to:
- Perform scheduled maintenance (with advance notice where possible)
- Suspend the Service for emergency maintenance
- Modify or discontinue features with reasonable notice
15.3. We are not liable for service interruptions caused by:
- Circumstances beyond our control (force majeure)
- Third-party service failures
- Internet connectivity issues
- Your equipment or software
16. LIMITATION OF LIABILITY

- We are not liable for any clinical errors, omissions, or adverse outcomes resulting from care plan use
- You must ensure all care plans are reviewed by qualified healthcare professionals before implementation
16.4. Limitation of Damages:
To the maximum extent permitted by UK law:
16.4.1. We are not liable for:
- Indirect, consequential, or incidental damages
- Loss of profits, revenue, or business opportunities
- Loss of data (except as caused by our negligence)
- Regulatory penalties or sanctions
- Harm to residents resulting from care plan implementation
16.4.2. Our total liability to you for any claims arising from these Terms or the Service shall not exceed:
- For Free Trial users: £0
- For paying subscribers: The total amount paid by you in the 12 months preceding the claim
16.5. Professional Indemnity:
- You should maintain appropriate professional indemnity insurance
- Our Service does not replace professional judgment or clinical expertise
- You remain solely responsible for compliance with CQC and other regulatory requirements
16.6. Third-Party Services:
- We are not responsible for third-party services (e.g., Stripe, email providers)
- We are not liable for issues caused by your internet service provider or device
17. INDEMNIFICATION
17.1. You agree to indemnify, defend, and hold harmless Shadow Healthcare Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any claim that your use of the Service caused harm to a resident
- Your breach of data protection laws
17.2. This indemnification obligation survives termination of your account.
18. TERMINATION
18.1. Termination by You:
- You may cancel your subscription at any time as described in Section 7
- Account deletion requests can be made to support@shadowhealthcare.co.uk
18.2. Termination by Us:
We may suspend or terminate your account immediately if:
- You breach these Terms
- You engage in fraudulent activity
- You abuse the Service or other users
- Your payment fails repeatedly
- Required by law or regulatory authority
18.3. Effect of Termination:
- Your right to use the Service ceases immediately
- You will not receive a refund for any remaining subscription period (except within 14-day cooling-off period)
- We may delete your account data (excluding data required for legal or accounting purposes)
- Sections that should survive termination (liability, indemnification, etc.) will remain in effect
18.4. Data Retention After Termination:
- We will retain your personal data for 6 years for accounting purposes (HMRC requirement)
- You may request earlier deletion subject to our legal obligations
- Resident data is not retained (as it is not stored during generation)
19. MODIFICATIONS TO TERMS
19.1. We may update these Terms at any time to reflect:
- Changes in law or regulation
- Changes to our Service or features
- Security or operational improvements
19.2. Notice of Changes:
- Material changes will be notified via email at least 30 days in advance
- The "Last Updated" date at the top will be revised
- Continued use after changes constitutes acceptance
19.3. If you do not agree to updated Terms:
- You may cancel your subscription before the changes take effect
- Refunds will only be provided as per Section 8
20. GOVERNING LAW AND JURISDICTION
20.1. These Terms are governed by and construed in accordance with the laws of England and Wales.
20.2. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
20.3. Consumers: If you are a consumer (not purchasing for business use), nothing in this clause affects your statutory rights.
21. DISPUTE RESOLUTION
21.1. Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting support@shadowhealthcare.co.uk.
21.2. We will endeavor to resolve complaints within 30 days.

22. SEVERABILITY

23.1. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shadow Healthcare Ltd.
23.2. These Terms supersede any prior agreements or understandings.
24. WAIVER
24.1. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
24.2. Any waiver must be in writing and signed by an authorized representative.
25. ASSIGNMENT
25.1. You may not assign or transfer your rights under these Terms without our written consent.
25.2. We may assign or transfer our rights and obligations under these Terms without your consent in the event of:
- A merger, acquisition, or sale of assets
- Corporate restructuring
26. FORCE MAJEURE
26.1. We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:
- Acts of God (floods, earthquakes, pandemics)
- War, terrorism, civil unrest
- Government actions or restrictions
- Internet or telecommunications failures
- Cyber attacks or data breaches affecting third parties

- We have no access to or record of resident names, medical information, or care details after generation

5.1.1. All third parties are bound by data processing agreements and process data only as instructed by us.
5.2. Legal Disclosures

- After the AI returns the edited text, resident names are automatically restored
- This ensures that no personally identifiable resident information is transmitted to the AI service
- Only generic care plan content (without names) is processed by AI
This automated privacy protection happens transparently - you do not need to take any action.
6. DATA RETENTION
6.1. Account Data: Retained for the duration of your account plus 6 years for accounting/tax purposes (HMRC requirement)
6.2. Payment Records: Retained for 6 years to comply with UK tax law
6.3. Resident Data: NOT retained - processed in real-time only and not stored
6.4. Usage Data: Retained for 2 years for analytics and service improvement
6.5. Marketing Consent: Retained until you withdraw consent or for 3 years of inactivity
6.6. Right to Erasure: You may request earlier deletion subject to our legal obligations (see Section 8)
