By accessing and using Shadow Healthcare, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
2. Description of Service
Shadow Healthcare provides a platform that assists in generating care plans for care home residents in the United Kingdom. The Service is intended for use by care home providers and care givers.
3. User Registration and Accounts
3.1. To use the Service, you will be required to register for an account and to purchase care plan credits. You agree to provide accurate and complete information during the registration process and to update your account information as needed. You must be at least 18 years old to use Shadow Healthcare.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3. Generated care plans will be sent to the email address that is provided during the account sign-up process. Users are to ensure that the email address used for the account sign-up is the same email that they intend for the generated care plans to be sent to.
4. User Obligations
4.1. You agree not to use the Service for any unlawful, harmful, or fraudulent activities, including but not limited to unauthorized access, distribution of malware, or violation of any applicable laws or regulations.
4.2. You shall use the Service in compliance with all relevant data protection and privacy laws and regulations.
4.3. You acknowledge that the care plans generated by the Service are based on the information you provide. It is your responsibility to verify the accuracy and appropriateness of these care plans before implementing them.
4.4. Generated care plans are for the named resident/service user to which the care plan pertains. Users can alter the care plan for the named resident/service user, however users cannot change the name of the resident/service user to which the generated care plan pertains once the care plan has been generated. Shadow Healthcare would view any alteration of the resident/service user name in the generated care plan to be a breach of the terms and conditions of the use of the web application, and an act of plagiarism, and Shadow Healthcare may seek legal recourse against the person/persons operating the user account who undertook such action.
6. Prohibited Activities
You agree not to: a. Use Shadow Healthcare for any illegal or unauthorized purposes. b. Interfere with the proper functioning of the application. c. Attempt to gain unauthorized access to other users' accounts. d. Transmit or store any harmful or malicious code. e. Violate any applicable laws, regulations, or third-party rights.
5. Intellectual Property Rights
5.1. Shadow Healthcare and its licensor retain all rights, title, and interest in and to the Service, including all content and intellectual property therein. All content on Shadow Healthcare, including but not limited to text, graphics, logos, and software, is protected by intellectual property/copyright laws. You may not use our content without our explicit written permission.
5.2. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for its intended purpose.
6. Privacy and Data Security
6.1. Shadow Healthcare will collect and process personal data as outlined in its Privacy Policy. By using the Service, you consent to such data collection and processing.

8.3. Shadow Healthcare is provided "as is" without warranties of any kind. We are not responsible for any direct, indirect, or consequential damages arising from your use of our web application.
8.4. The generated care plans provide a frame work for the named resident/service user's social or nursing care and are expected to be altered after generation, by the user of the web application to be clinically appropriate and person-centred to the named resident/service user. As such the web application user is clinically liable for the contents of the generated care plans. Shadow Healthcare shall not be liable for any clinically erroneous content in a named resident/service user's generated care plan.
9. Refunds and Account Closure
9.1. When a User has purchased care plan credits to their account, once the credit has been used to generate a care plan, no refunds will be made.
9.2. At any time a User can apply in writing to close their account and request a refund of their unused care plan credits. Shadow Healthcare will refund the price of the unused care plan credits at the cost of £0.30 per care plan and will deduct any payment costs incurred as part of this transfer.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the United Kingdom.
11. Changes to Terms and Conditions
Shadow Healthcare reserves the right to modify these Terms and Conditions at any time and such changes will be effective upon posting on our website. It is your responsibility to review these terms periodically for any updates. Your continued use of Shadow Healthcare after any modifications constitutes acceptance of the updated terms.
